Activision said Wednesday, July 2, that the Delaware Court of Chancery denied the Wayne County Employees' Retirement System's request for a preliminary injunction to halt a shareholder vote relating to Activision's proposal to combine with Vivendi Games Inc., the interactive entertainment business unit of French media conglomerate Vivendi. In February, the Detroit pension fund brought the suit, claiming directors of Santa Monica, Calif.-based Activision had not obtained the best deal for shareholders. Judge William B. Chandler III ruled that the pension fund failed to show that the additional information it wanted before the meeting was important to investors. Chandler appeared to be well versed in the gaming world and compared it with the world of M&amp;A with references like: "In some ways, perhaps, the world of mergers and acquisitions is a massively multiplayer role-playing game as well. Like in 'World of Warcraft' and other games, the participants in the M&amp;A field take on certain roles, interact in their own community, hone specialized skills and even develop a unique, somewhat curious vernacular." In denying the pension fund's request, the judge concluded: "Like any game, this one has rules, and the most essential rule of disclosure is materiality. Because the plaintiff could not establish the materiality of its final three disclosure claims, the motion for a preliminary injunction is denied. ... GAME OVER." Activision's shareholders are now scheduled to vote on the deal on July 8. If passed, the deal is expected to close the following day. The two gamers first announced in December that they would combine their businesses. Under the terms of the Activision-Vivendi deal, the French group will receive 295.3 million new shares in the merged company, Activision Blizzard, in return for its gaming unit. It will also pay $1.7 billion, or $27.50 per share, for a further 62.9 million shares. On that basis the new group, which will trade on the Nasdaq Stock Exchange, will be valued at about $18.9 billion. The new company will make an offer to buy back as much as 16%, or $4 billion, of shares, also at $27.50. The transaction will boost Activision's earnings from the first year, with the merged entity targeting operating income of $1.1 billion for 2009. The new business will have about $3.8 billion in sales this year, on a pro forma basis, placing it ahead of Electronic Arts Inc., which expects about $3.1 billion. Activision has been a successful acquirer, striking nine deals in the past five years. In 2006 it paid $100 million for RedOctane Inc., which developed "Guitar Hero." In 2003 it acquired Infinity Ward, capturing the team of developers that had created "Medal of Honor," one of Electronic Arts' bestsellers. The team has since developed the "Call of Duty" series for Activision, which has taken in more than $1 billion.</description>

Although the final deal would eventually be worth several million dollars, it would have to win over both Apple Corps and the EMI Group, the two companies that oversee the band's business interests and the master recordings. The Beatles have been one of the major artists to resist any move into the digital world, but if such a deal were to occur it would likely happen simultaneously with any move by The Beatles into digital stores and the digital market. In the past year and a half, numerous rumors have appeared that cited 2008 as the year that would see the move, including comments made by Olivia Harrison, George Harrison's widow. Unfortunately, no such appearance by the band into stores like Apple Inc. 's (NASDAQ: AAPL ) iTunes or Amazon.com Inc. 's (NASDAQ: AMZN ) MP3 Store has happened even with a new management team led by former Sony BMG executive Jeff Jones. Any deal would send a massive shockwave through the music industry and no doubt come with numerous marketing and advertising techniques that have become popular and successful in recent years. Although many Beatles purists and fans might be put off by an iTunes-themed commercial featuring The Beatles and the band's music, the exposure provided by such a method would increase awareness of the band to younger and newer audiences.
